The principle of protect to faith in commercial law and interrelationship of special regulations with functions of legal entities

Within the framework of this article, the objective is to examine the legal regulation of Mongolia concerning the protection of the reliance of third parties who have entered into transactions with a company's executive directors, in circumstances where the directors' authority to conclude such transactions has been restricted, and to compare this regulation with the doctrine concept of apparent authority. In this regard, the general notion of a third party is further specified, and consideration is given to whether the statutory functions of banks and other authorized legal entities may impede the protection of such reliance.
This is due to the fact that banks and authorized legal entities, within the scope of their statutory functions, are vested with the authority to collect client information, which may potentially conflict with the essential characteristics of the doctrine of apparent authority.

Хураангуй: Энэхүү өгүүллийн хүрээнд гүйцэтгэх удирдлагын компанийг төлөөлж хэлцэл хийх бүрэн эрхэд хийсэн хязгаарлалтын талаар болон түүнийг компанийг төлөөлөх бүрэн эрхтэй гэж итгэж хэлцэл хийсэн гуравдагч этгээдийн итгэлийг хамгаалахтай холбоотой онолын үзэл баримтлалыг Монгол Улсын эрх зүйн зохицуулалттай харьцуулан судлахыг зорьсон болно. Ингэхдээ гуравдагч этгээд гэх ерөнхий ойлголтыг нарийвчилж, банк, эрх бүхий хуулийн этгээдийн хуульд заасан чиг үүрэг нь итгэлийг хамгаалах зарчимтай зөрчилдөх эсэх талаар судалсан болно.
Учир нь Банк, эрх бүхий хуулийн этгээд нь хуульд заасан чиг үүргийн хүрээнд харилцагчийн талаар мэдээллийг цуглуулах бүрэн эрхтэй байдаг тул илэрхий бүрэн эрхийн онолын үндсэн шинжийг хангахгүй байх боломжтой байна.
